Alban MICHOU TOGNELLI is a lawyer at the Paris Bar.

Alban worked as a tax lawyer within major international law firms (K&L Gates LLP and Winston & Strawn LLP).

Alban assists French and foreign companies on tax aspects of corporate restructurings, mergers/acquisitions and LBO (Leveraged BuyOuts) and also assists his clients in their relations with the French tax authority at each phase of a tax audit or litigation.

He is highly experienced in international tax matters, particularly in the interpretation of tax treaties. Alban thus advises his clients (mainly non-resident individuals) on individual taxation and wealth structuring.

Alban is fluent in French, English and Italian. He is a member of the Institut des Avocats Conseils Fiscaux (“IACF”), the main representative organization of tax lawyers.

• Advising Heroes Media on the acquisition of the French magazine Public;
• Advising the Italian group Delta Med on the tax structuring of its merger with the Pentaferte group;  
• Advising VTG Aktiengesellschaft, one of the European leaders in rail freight and logistics, as part of the acquisition of all the shares of CIT Rail Holdings (Europe) SAS and the acquisition of Nacco Group from CIT Group Inc. for €780 million;
• Advising Sanofi Pasteur MSD in connection with the spin-off between Sanofi and Merck;
• Advising the Normandy Memorial Trust, chaired by Peter Ricketts, former British ambassador to France, in the acquisition of land and memorial construction overlooking Gold Beach to honor the memory of the 21,000 British soldiers who died in Normandy;
• Advising ABN AMRO Investment Solutions with the transfer of its direct investment management business to CANDRIAM;
• Advising Riverside Europe Partners and the CEO of HRA Pharma in connection with the sale of HRA Pharma to Astorg Partners and Goldman Sachs Merchant Banking Division;
• Advising Kai Yuan Holdings Limited, an investment holding company listed on the Hong Kong Stock Exchange, in connection with the acquisition of the Paris Marriott Champs-Elysées Hotel;
• Advising a family office on the sale of the headquarters of the publicly listed Hermès group, located in a central business district of Paris (prime real estate), to a French institutional investor represented by DTZ Investors France (CNP Assurances); 
• Advising Marathon Asset Management, an international credit manager, in connection with the acquisition of a €280 million commercial real estate loan portfolio in continental Europe from Lloyds Banking Group;
• Advising the French listed company Ipsos in connection with the creation of Ipsos Partners, a management company to bring together approximately 150 of the Ipsos group’s worldwide top executives;
• Advising the Canadian listed group Boralex Inc. in connection with the acquisition of a 200 MW portfolio of wind power projects located in France and Scotland, as well as the acquisition of approximately 8,500 acres of land where projects will be developed;
• Advising FactSet, a global provider of integrated financial information, analytical applications and services, in its acquisition of BISAM Technologies S.A. (“BISAM”), a leading provider of portfolio performance and attribution, multi-asset risk, management and composite GIPS reporting, to Aquiline Capital Partners and its management.
